ANA plans to acquire two Japanese airlines
October 30th 2026
ANA HOLDINGS (ANAHD), the parent company of All Nippon Airways (ANA), has entered into a Memorandum of Understanding with RegionalPlus Wings (RPW), the joint holding company of AIRDO and Solaseed Air, to advance discussions to make RegionalPlus Wings a wholly owned subsidiary through a share exchange. Read More » “By leveraging their strengths and management resources, the companies aim to strengthen the foundations of their domestic passenger business and enhance customer value,” said ANAH.
As background to the integration, ANAHD cited the slow recovery in high-yield business demand after the COVID-19 pandemic, population decline and labor shortages, rising fuel and maintenance costs due to the weak yen, and higher costs from DX investments that had been restrained during the pandemic.
In May 2026, Japan’s Ministry of Land, Infrastructure, Transport and Tourism lifted restrictions on equity investments by major airlines in mid-sized airlines, following discussions by its expert panel, opening the way to the merger. “Initially, the companies will retain the AIRDO and Solaseed Air brands while coordinating and integrating functions relating to business planning, revenue management, procurement, and the development, maintenance and management of facilities. As a medium-term strategy, the companies will also consider integration under the ANA brand to achieve sustainable growth across the group and generate further synergies,” said ANA.
The proposed transaction will take the form of a share exchange in which ANAHD will become the wholly owning parent company, and RPW will become the wholly owned subsidiary. Once the share exchange is implemented, RPW will become a wholly owned subsidiary of ANAHD. The share exchange is effective April 1, 2027.
